Skyworks to Acquire the Infrastructure & Automotive Business of Silicon Labs
In an all-cash asset deal valued at $2.75 billion, Skyworks Solutions has achieved a definitive agreement with Silicon Laboratories to purchase the infrastructure and automotive businesses of Silicon Labs. The transaction is expected to finalize in the third quarter of 2021.
Skyworks will purchase Silicon Labs' power/isolation, timing, and broadcast product lines, as well as their technology portfolios and related assets, which will complement Skyworks' connectivity portfolio. According to Skyworks, the acquisition will speed up the company's expansion into electric and hybrid vehicles, industrial and motor control, power supply, 5G wireless infrastructure, optical data communication, data center, automotive, and smart home applications, with a combined market opportunity of $20 billion per year.
"This purchase will broaden our capabilities across high-growth end sectors including as automotive, communications, and industrial, opening up new and extremely appealing prospects for Skyworks," said Liam Griffin, president and CEO of Skyworks.
Mark Thompson, Silicon Labs' senior vice president and general manager of the company's infrastructure and automotive businesses, will join Skyworks and report directly to Griffin. Once the acquisition is completed, Skyworks aims to hire about 350 workers, including the company's top management team.
"When this acquisition is completed, we are excited to welcome the Infrastructure & Automotive team to Skyworks," Griffin added.
The deal, according to Skyworks, would be immediately accretive and will help the firm achieve its target financial model sooner.
Both firms' boards of directors have authorized the deal, which is subject to usual closing conditions, including regulatory approvals. Skyworks intends to fund the deal with a mix of cash and J.P. Morgan-arranged committed debt financing.
