$1.35 Billion! ADI to Acquire Alif Semiconductor

According to Analog Devices (ADI), the company has agreed to acquire privately held Alif Semiconductor for $1.35 billion in cash, with the transaction designed to expand ADI’s edge processing capabilities as artificial intelligence (AI) increasingly moves into physical systems.

The acquisition will combine ADI’s expertise in sensing, signal processing, and power management with Alif Semiconductor’s AI processing technology. The combined capabilities are expected to help customers develop intelligent systems that can analyze data and respond in real time.

Headquartered in Pleasanton, California, Alif Semiconductor develops low-power processors that integrate AI computing, sensor data processing, connectivity, and security features into a single platform. Its solutions are designed for applications across consumer electronics and industrial markets.

Under the agreement, ADI will pay $1.35 billion upfront in cash and may make additional payments of up to $200 million, subject to certain conditions.

Alif’s chips have already begun shipping and the company has established customers in both consumer and industrial markets. The acquisition is expected to strengthen ADI’s position in edge AI, where processing increasingly takes place closer to sensors and connected devices.

PJT Partners and Qatalyst Partners are serving as financial advisors to ADI and Alif, respectively.

In August, ADI, headquartered in Wilmington, Massachusetts, reported a 40% increase in third-quarter revenue and forecast fourth-quarter revenue and earnings above Wall Street expectations.
